Terms of Service

1. Agreement to Terms

By accessing or using Cimalys services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

3. Services Offered

Cimalys provides AI automation solutions, including but not limited to:

  • AI voice agents
  • Chat automation
  • Lead qualification systems
  • Workflow automation
  • Custom AI solutions
  • AI consulting services

4. Trial Period and Pricing

4.1 Two-Week Demo

We offer a two-week free demo period for new clients to evaluate our services. During this period:

  • No upfront payment is required
  • You can test the functionality of our solutions
  • No commitment or contract is required
  • You may cancel at any time without charge

4.2 Pricing

After the demo period, our standard pricing tiers are:

  • Starter: From 2,000 DKK
  • Growth: From 10,000 DKK
  • Enterprise: From 25,000 DKK

Specific pricing will be outlined in your individual service agreement.

5. Money-Back Guarantee

We offer a 60-day money-back guarantee with the following terms:

  • Valid for 60 days from the date of first payment
  • Full refund of service fees paid
  • Exception: Operating costs (API fees, third-party service costs, infrastructure costs) are non-refundable
  • To request a refund, contact nlej@cimalys.com with your request
  • Refunds will be processed within 14 business days

Note: Operating costs include but are not limited to: OpenAI API usage, cloud hosting fees, third-party integrations, and any other direct costs incurred in delivering the service.

6. Payment Terms

  • Payment is due as specified in your service agreement
  • We accept payment via bank transfer or other agreed methods
  • Late payments may result in service suspension
  • All prices are in Danish Kroner (DKK) unless otherwise stated

7. Service Delivery

We will make reasonable efforts to:

  • Deliver services as described in your agreement
  • Provide regular updates on project progress
  • Respond to support requests in a timely manner
  • Maintain service quality and uptime

8. Client Responsibilities

You agree to:

  • Provide accurate information and necessary access
  • Respond to requests for information in a timely manner
  • Use services in compliance with applicable laws
  • Not misuse or attempt to reverse-engineer our solutions
  • Maintain confidentiality of any access credentials

9. Intellectual Property

Unless otherwise agreed in writing:

  • Custom solutions developed for you become your property upon full payment
  • We retain rights to general methodologies, frameworks, and reusable components
  • You grant us permission to use your company name and logo as a reference (unless you opt out)

10. Confidentiality

Both parties agree to:

  • Keep confidential information private
  • Not disclose sensitive business information to third parties
  • Use confidential information only for the purposes of the service agreement

11. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount paid for services in the 12 months prior to the claim
  • We do not guarantee specific business outcomes or results
  • We are not responsible for third-party service failures (e.g., OpenAI API downtime)

12. Warranties

We warrant that:

  • Services will be performed with reasonable skill and care
  • We have the right to provide the services offered

Services are provided "as is" without any other warranties, express or implied.

13. Termination

Either party may terminate the service agreement:

  • With 30 days' written notice
  • Immediately for material breach of these terms
  • During the trial period at any time without notice

Upon termination, you remain responsible for payment of services rendered up to the termination date.

14. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR.

15. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of services constitutes acceptance of modified terms.

16. Governing Law

These terms are governed by Danish law. Any disputes will be resolved in Danish courts.
